TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADMAX REALTY INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless ADMAX REALTY INC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services or violation of these Terms.
These Terms remain in effect while you use our services or until terminated by either party.
Either party may terminate the service relationship with written notice as specified in the applicable service agreement. We reserve the right to suspend or terminate services immediately for violation of these Terms.
Upon termination, you must cease using our services. Provisions that by their nature should survive termination shall remain in effect.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Stockton, California, in accordance with the rules of the American Arbitration Association.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with any applicable service agreements, constitute the entire agreement between you and ADMAX REALTY INC regarding the use of our services and supersede all prior agreements and understandings.
